Corporate Associate – Mergers & Acquisitions (Dallas, TX)

Our Client, a global law firm, is seeking a talented 3rd-5th year associate to join our highly regarded Corporate practice in the Dallas, TX office. This is an exciting full-time opportunity to work with a dynamic and nationally recognized practice group, providing counsel to leading private equity funds, independent sponsors, and portfolio companies across a broad spectrum of M&A transactions, capital raises, and debt and securities offerings. About the Role: In this role, you will gain hands-on experience working on complex M&A transactions and advising private equity clients on a wide range of business matters. You will be responsible for drafting transaction documents, including M&A agreements, operating and partnership agreements, and providing ongoing legal support to portfolio companies. You will work alongside a dynamic team, interacting with senior attorneys and clients, and take ownership of key aspects of transactions.

Key Responsibilities:

  • Draft and negotiate M&A transaction documents, operating and partnership agreements, and other key corporate documents.
  • Provide legal support to private equity funds and portfolio companies in connection with capital raises, M&A transactions, and debt and securities offerings.
  • Participate in day-to-day corporate matters and provide strategic advice to clients.
  • Work in a team-oriented and collaborative environment, managing junior associates and providing mentorship.
  • Engage in client relationships and participate in professional development through involvement in community and professional organizations.

Ideal Candidate:

  • 3rd-5th year associate with strong experience in private equity, M&A transactions, and corporate governance.
  • Excellent academic background with superior drafting, research, and negotiation skills.
  • Diligent, detail-oriented, proactive, and able to work collaboratively in a team.
  • Strong interpersonal and communication skills with a client-centric approach.
  • Admitted to the Texas Bar or willing to sit for the Texas Bar.
  • A commitment to professional development and participation in community and professional organizations
