Requirements:

  • 4–6 years of experience in public company and capital markets law.

  • Strong background advising public companies on SEC compliance, disclosure, and governance matters.

  • Familiarity with Nasdaq/NYSE listing standards and ongoing reporting obligations.

  • Experience representing issuers or investment banks in capital markets transactions, including IPOs, PIPEs, and ATM offerings.

  • Industry experience with technology and/or life sciences clients is a plus.

  • Strong academic credentials and a collaborative approach to practice.

The successful candidate will advise high-growth public companies and underwriters on complex regulatory and transactional matters, including IPOs and equity/debt offerings.

  • Advise clients on SEC reporting and disclosure obligations.

  • Assist with governance, compliance, and exchange-related issues.

  • Represent public companies and financial institutions in capital markets transactions.
